Terms of Service

These Terms govern your access to and use of the Nextinfashion platform and related services (the "Service"), which are operated by Lean Labs Private Limited, a company incorporated in India.

1. Acceptance of Terms

By accessing or using the Nextinfashion website and services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the Terms, you must not access or use the Service.

In these Terms, "Company" means Lean Labs Private Limited, having its registered office at C/O Varghese, Mulllasseril, Pancode PO, Vadavucode, 682310, India, and corporate identification number (CIN) U62011KL2026PTC101862. References to "we", "us", or "our" mean the Company.

You represent that you are at least 18 years of age and have capacity to contract under the Indian Contract Act, 1872. The Company does not permit use of the Service by persons under 18.

2. Use License

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal or personal business purposes in accordance with these Terms.

3. User Content & AI Generations

Your Ownership

You retain all rights to the images and content you upload to the Service, subject to the licence you grant to us below.

AI Generations

The Company assigns to you all right, title, and interest in the images generated by the AI services for you, to the fullest extent permitted by applicable law in India and elsewhere. Commercial use of outputs may require a paid plan that includes commercial rights, as stated on the Service.

Licence to the Company

By using the Service, you grant the Company a worldwide, non-exclusive, royalty-free licence to host, reproduce, modify, and display your content solely to provide, secure, and improve the Service (for example, displaying your gallery or debugging).

4. Payments & Refunds

Credit system: The Service operates on a credit-based system. You purchase credits that are consumed when you use specific features.

Pricing changes: The Company may modify pricing or plans. Changes apply to future purchases unless otherwise required by law.

Subscription cancellation: If you subscribe to a recurring plan, you may cancel in accordance with the in-product controls. Benefits typically continue until the end of the current billing period unless the law requires otherwise.

5. Disclaimers

"AS IS" and "AS AVAILABLE"

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted under applicable law in India, the Company disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except any warranty that cannot be excluded under the Indian Contract Act, 1872 or other applicable law.

The Company does not warrant that the Service will meet your requirements, achieve any particular result, be compatible with all third-party software, or operate without interruption or error.

6. Limitation of Liability

To the fullest extent permitted by applicable law in India, in no event shall the Company, its directors, officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business opportunity, arising out of or in connection with your use of the Service, whether based on contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages.

To the extent permitted by law, the Company's aggregate liability for all claims arising from or related to the Service or these Terms shall not exceed the greater of (a) the amount you paid to the Company for the Service in the three (3) months immediately preceding the event giving rise to liability, or (b) Indian Rupees five thousand (INR 5,000), except where liability cannot be limited by law (including liability for death or personal injury caused by negligence, fraud, or other non-excludable heads).

7. Termination

The Company may suspend or terminate your access to the Service, with or without notice, if you breach these Terms or if required for legal, security, or operational reasons.

Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, governing law, and dispute resolution) shall survive.

8. Governing Law & Jurisdiction

These Terms are governed by the laws of India, without regard to conflict-of-law principles that would require application of another jurisdiction's laws.

Subject to applicable mandatory provisions that may require a different forum (including consumer protection laws), you and the Company submit to the exclusive jurisdiction of the courts at Ernakulam, Kerala, India, for resolution of disputes arising out of or relating to these Terms or the Service.

9. General

Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

Assignment: You may not assign or transfer these Terms without the Company's prior written consent. The Company may assign these Terms in connection with a merger, acquisition, or sale of assets.

Entire agreement: These Terms, together with the Privacy Policy and any plan-specific terms presented at purchase, constitute the entire agreement between you and the Company regarding the Service and supersede prior oral or written understandings on the same subject.

Electronic records: You consent to receive communications and enter into agreements electronically, including by accepting these Terms through the Service interface.
